1. Definitions

In these Terms and Conditions:

• "Service" refers to the financial education programs and advisory services provided by Nexawise
• "User," "You," or "Your" refers to individuals participating in our programs or accessing our website
• "We," "Us," or "Our" refers to Nexawise, located at 89 Charoen Krung Road, Bangkok, Thailand
• "Agreement" refers to these Terms and Conditions and any applicable program enrollment agreements
• "Content" refers to all materials, information, and resources provided through our services

2. Acceptance of Terms

By accessing our website at nexxawisses.pro, enrolling in our programs, or using our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services. We reserve the right to refuse service to anyone for any reason at any time.

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

3. Description of Services

Nexawise provides financial education programs designed to help participants develop their understanding of financial principles, planning frameworks, and decision-making approaches. Our services include:

• Structured learning programs (Charting Your Financial Position, Navigating Investment Horizons)
• Comprehensive advisory programs (Complete Financial Stewardship)
• Workshop sessions and peer discussions
• Private consultations (for eligible program participants)
• Educational resources and supplemental materials

Our services are educational in nature and do not include financial product sales, investment management, or specific investment recommendations.

4. Program Enrollment and Fees

Enrollment Process

Enrollment in our programs requires completion of our registration process and payment of applicable fees. We reserve the right to accept or decline enrollments at our discretion. Program capacity is limited and enrollment is processed on a first-come, first-served basis.

Payment Terms

All fees are stated in Thai Baht (฿) and must be paid in full before program commencement unless alternative arrangements have been agreed in writing. Payment can be made via bank transfer, credit card, or other methods as specified during enrollment.

Cancellation and Refund Policy

• Cancellations made 14 or more days before program start: Full refund minus ฿500 administrative fee
• Cancellations made 7-13 days before program start: 50% refund
• Cancellations made less than 7 days before program start: No refund
• No refunds after program commencement

We reserve the right to cancel programs due to insufficient enrollment or unforeseen circumstances. In such cases, participants will receive a full refund or may transfer to a future program session.

5. User Responsibilities

As a participant in our programs, you agree to:

• Provide accurate and complete information during enrollment and throughout program participation
• Attend scheduled sessions or notify us in advance of absences
• Engage respectfully with instructors and other participants
• Maintain confidentiality of other participants' shared information
• Complete exercises and assignments to maximize learning value
• Use program materials solely for personal educational purposes
• Not reproduce, distribute, or commercialize program content without written permission

6. Intellectual Property Rights

All content provided through our services, including but not limited to curriculum materials, frameworks, assessment tools, presentations, and written resources, is the intellectual property of Nexawise and is protected by Thai and international copyright laws.

You are granted a limited, non-exclusive, non-transferable license to access and use program materials for personal educational purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our programs without our prior written consent.

7. Educational Nature and Disclaimers

Educational Purpose

Our programs are designed for educational purposes only. We provide frameworks, knowledge, and guidance to help you develop your own financial understanding and decision-making capabilities. We do not provide specific investment advice, recommend particular financial products, or make decisions on your behalf.

No Guarantees

We make no representations or warranties regarding specific outcomes from participation in our programs. Financial education is a journey that requires sustained engagement and application. Results depend on individual circumstances, actions taken, and factors outside our control.

Professional Advice Disclaimer

Content provided through our services should not be construed as legal, tax, or investment advice. For decisions involving significant financial commitments or legal implications, we recommend consulting with licensed professionals in the relevant fields.

8. Limitation of Liability

To the fullest extent permitted by Thai law, Nexawise and its directors, employees, and instructors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or opportunities, arising from your use of our services or participation in our programs.

Our total liability to you for any claims arising from or related to our services shall not exceed the amount you paid for the specific program from which the claim arose.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nexawise, its directors, employees, and instructors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms and Conditions, your use of our services, or your violation of any rights of another party.

10. Termination

We reserve the right to terminate or suspend your access to our services at any time, with or without cause or notice, for conduct that we believe violates these Terms and Conditions or is harmful to other participants, us, or third parties.

Upon termination, your right to use our services will immediately cease. Termination does not relieve you of obligations incurred prior to termination. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitation of liability, and dispute resolution provisions.

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Thailand. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising from or relating to these Terms or our services, you agree to first attempt to resolve the matter through good-faith negotiations with us. If negotiations do not resolve the dispute within 30 days, either party may pursue formal legal proceedings.

These Terms and Conditions, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Nexawise regarding our services and supersede any prior agreements or understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Nexawise.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

For enrolled participants, material changes to Terms affecting existing program commitments will be communicated via email and will not apply retroactively to current enrollments.
